2. Definitions

• Account: Your personal user account on the Anexly platform.

• Buyer: A person who purchases any goods or services on Anexly.

• Goods/Services: Digital items or services offered on the platform.

• Anexly Services: Any functionality, service, or content provided by Anexly.

• Information: All content provided or submitted, including text, images, data, etc.

• Intellectual Property: Includes all IP rights owned by or licensed to Anexly.

• Sales Contract: A legally binding contract for the purchase of goods/services.

• Personal Data: As defined in our Privacy Policy.

• Platform: The Anexly website and associated applications.

• You/Your: Any user of the Anexly platform.

3. Accessing the Platform

To access Anexly services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and all activities under your account.

Anexly reserves the right to suspend or terminate access if misuse, fraud, or policy violations are detected.

4. Use of Platform

Anexly grants a non-exclusive, non-transferable license to use the platform for its intended purposes. Users may not reproduce, distribute, or exploit any part of the service unless expressly permitted.

Any unauthorized access, misuse, reverse-engineering, or interference with platform operations is strictly prohibited.

5. Personal Information

All personal data is handled in accordance with the Anexly Privacy Policy. You agree to comply with all data protection requirements applicable to your use of the service.

6. Confidentiality

Confidential information disclosed by Anexly must not be shared unless required by law or explicitly permitted by us.

7. Consumer Protection

Nothing in this agreement excludes your rights under applicable consumer protection laws. Where applicable, Anexly adheres to the UK Consumer Rights Act and GDPR regulations.

8. Disclaimers

The platform and services are provided “as-is” without warranties of any kind. Anexly does not guarantee uninterrupted or error-free operation.

We are not liable for indirect or consequential damages, including data loss or service interruptions.

9. Limitation of Liability

To the maximum extent allowed by law, our total liability to you is limited to the greater of £30 or the amount you paid for the disputed service.

10. Indemnity

You agree to indemnify Anexly against all liabilities arising from your misuse, negligence, or violation of these terms.

11. Force Majeure

Anexly is not liable for any failure or delay due to causes beyond our control, including natural disasters, governmental actions, or network failures.

12. Suspension Rights

Anexly may suspend or terminate your account without notice in the event of:

• Violation of this agreement;

• Suspicious or fraudulent activity;

• Actions harming the platform or other users.

13. Termination

This agreement may be terminated by Anexly with immediate effect upon breach or inactivity. Upon termination, all rights granted to you cease immediately.

14. Changes to the Terms

Anexly reserves the right to amend these terms at any time. Continued use of the platform after such changes constitutes acceptance.

15. Notices

All communications will be sent via email or posted on the platform. Notices are effective upon sending or posting.

16. Entire Agreement

This Agreement, along with any referenced documents, forms the complete understanding between you and Anexly.

17. Assignment

You may not assign your rights under this agreement without prior written consent. Anexly may assign its rights to affiliates.

18. Payment Terms

One-Time Purchases and Recurring Subscriptions are billed as selected by the user. Details are provided during checkout, and reminder emails will be sent prior to renewals.

19. Waiver

A delay or failure to enforce any right under this agreement does not constitute a waiver.

20. Successors and Assigns

This agreement is binding upon all successors and permitted assigns.

21. Severability

If any provision is deemed invalid, the rest of the agreement remains enforceable.

22. No Agency

This agreement does not create a partnership or agency relationship.

23. Governing Law

These terms are governed by the laws of the United Kingdom.

24. Survival

Sections that are intended to survive termination (e.g., confidentiality, indemnity) will remain in effect.
